SEC allows companies to submit reports through email

The Securities and Exchange Commission will allow public companies, issuers of registered securities and investment firms to submit their reports through email while the enhanced community quarantine in Luzon is in effect.

The SEC said in an advisory investment companies, issuers of proprietary and non-proprietary shares may email their reports at cgfd@sec.gov.ph until further notice.

Among the reports that may be filed through email are current reports (SEC Form 17-C), beneficial ownership reports (SEC Forms 18-A, 18-AS, 23-A or 23-B), information statements (SEC Forms 20-IS or 20-ISA), monthly sales and redemption reports and other documents.

The regulator said companies should indicate their full corporate names and the document type in the subject line.

The report must be accompanied by a certification by the person who prepared it on behalf of the company.

All covered companies, however, must still submit the hard copies of their reports or documents with proper notarization within 10 calendar days from the lifting of the quarantine order.

They must also issue a certification that the hard and digital copies of the report were one and the same.

For listed companies, the SEC said they can email their current reports and direct communications to msrd_covid19@sec.gov.ph.

All reports filed by publicly-listed companies through the PSE Electronic Disclosure Generation Technology will be be considered as having filed the report with the SEC.

The SEC said it reserved the right to require publicly-listed companies to submit copies of their reports at a later time. The commission will also ask the Philippine Stock Exchange to furnish it with the reports filed through the PSE EDGE.

The SEC earlier extended the deadline for submission of annual and quarterly reports for corporations affected by the outbreak of the new coronavirus disease.

Under a new memorandum circular approved on March 12, affected corporations with domestic operations may file until June 30 their annual reports or annual financial statements for the period ending December 31, 2019.

For companies with domestic and foreign operations, the filing period is extended until June 30, or 60 days from the date of the lifting of travel restrictions by concerned government authorities.
