Notice is hereby given that THEMIS GROUP CORPORATION (Themis) intends to conduct a tender offer for up to 86,401,921 common shares of FERRONOUX HOLDINGS, INC. (FERRO), a company listed with The Philippine Stock Exchange, Inc. (PSE) at the tender offer price of Php2.22 per share. The tender offer period shall commence on 12 March 2025 and end on 10 April 2025.
The Tender Offer Report (SEC Form 19-1, including exhibits and annexes) will be filed with the Securities and Exchange Commission, with copies to the PSE and FERRO, prior to the start of the tender offer period. The Tender Offer Report shall contain, among others, the terms and conditions of the tender offer and other relevant materials.
The Tender Offer is in relation to the proposed acquisition by Themis of FERRO shares owned by ISOC Holdings, Inc.
